Lithuanian industrial group FIMA UAB has successfully completed the acquisition of Krakowskie Zakłady Automatyki S.A. (KZA), a Polish leader in railway infrastructure and control automation solutions. This M&A transaction enhances FIMA’s presence in Poland and reinforces its commitment to rail modernization.

About the Seller: KZA’s Legacy in Rail Automation

KZA, headquartered in Krakow, has been a key player in railway infrastructure since 1928. The company specializes in the design, implementation, and maintenance of rail control systems. In 2008, KZA sold a 12% stake to global train manufacturer Bombardier Transportation to collaborate on rail infrastructure projects.

About the Buyer: FIMA’s Expansion Strategy

FIMA, a Lithuanian intelligent engineering solutions company, operates subsidiaries in Latvia, Belarus, and Poland, employing over 500 professionals.

With nearly two decades of experience in rail modernisation, FIMA has been involved in upgrading approximately 400 km of railway infrastructure and modernising nearly 100 stations and crossings.

The company has also played a crucial role in projects such as the Rail Baltica I initiative, traffic control system enhancements, and telecommunications infrastructure upgrades.

 

M&A Advisory and Transaction Terms

FIMA UAB was advised by Warsaw Equity Advisors (M&A) and SK&S Attorneys (legal), while KZA was represented by Tomasz Jacowiecki (Red Herring) and Mark Sapsford. The financial details of the acquisition remain undisclosed.

The acquisition includes a controlling block of shares purchased from key KZA managers, solidifying FIMA’s long-term strategic investment in Poland’s railway sector.
